CHANGE TO BOARD OF DIRECTORS AND APPOINTMENT OF NEW COMPANY SECRETARY
In compliance with paragraph 3.59 of the Listings Requirements of the JSE
Limited ("the JSE"), shareholders are advised that Mr. Daniel Nathan
Reichenberg has resigned as the Financial Director and Company Secretary of
the Company with immediate effect. The Board thanks Daniel for his
contribution to the Company and wishes him well for the future.
In view of the proposed implementation of a scheme of arrangement in terms
of section 311 of the Companies Act ("the scheme") and subsequent delisting
of Verimark from the JSE, as announced on SENS on 11 May 2009, Daniel will
continue to fulfill his current role until at least such time as the
circular to shareholders in respect of the scheme has been approved by the
Securities Regulation Panel and the JSE.
Mr. Siegfried Preller will, in addition to his present duties as Financial
Manager, adopt the role of Company Secretary of the Company with immediate
effect.
