RESULTS OF APEXHI GENERAL MEETINGS
Linked unit holders are advised that, at the general meetings of ApexHi
shareholders and debenture holders held on Thursday, 14 May 2009, all of the
resolutions relating to the proposed acquisition by ApexHi of all of the
linked units in Ambit not already owned by it (the "scheme") were passed by
the requisite majorities.
The scheme remains conditional upon the following conditions precedent (the
"conditions"):
- the sanction by the South Gauteng High Court, Johannesburg of the scheme
(which is anticipated to be obtained on Tuesday, 19 May 2009) and the
registration by the Registrar of Companies of the Order of Court sanctioning
the scheme; and
- the unconditional approval (or approval on conditions acceptable to
ApexHi) of the Competition Authorities for the implementation of the
scheme("Competition Approval").
The original salient dates announcement (published on 16 April 2009) envisaged
that Competition Approval would be obtained by 13 May 2009. It is now
envisaged that Competition Approval will be obtained in early June 2009,
requiring an amendment to the salient dates for the implementation of the
scheme. A revised announcement reflecting the amended salient dates will be
published once the precise date on which the anticipated Competition Approval
is known.
To accommodate any further unforeseen delays in obtaining Competition
Approval, ApexHi and Ambit have agreed to extend the date for fulfilment of
the conditions from 15 June 2009 to 30 June 2009. The effective date of the
scheme remains unchanged.
