ANNOUNCEMENT PERTAINING TO the acquisition of a shareholding in the company AND
FURTHER CAUTIONARY ANNOUNCEMENT
1. Announcement by Country Bird Holdings Limited ("Country Bird")
1.1 Acquisition by Country Bird
The board of directors of Sovereign ("the Board") draws the attention of
Sovereign`s shareholders to the announcement by Country Bird released on
SENS on 14 May 2009 ("the CBH Announcement").
According to the CBH Announcement, Country Bird has acquired an interest of
approximately 13.4% in the issued share capital of Sovereign ("the CBH
Acquisition").
1.2 Status of the CBH Acquisition
According to the CBH Announcement, the CBH Acquisition was conducted on the
open market and is not subject to any conditions precedent.
The CBH Announcement states furthermore that "(t)his announcement does not
constitute a firm intention to make an offer for the purposes of the
Securities Regulation Code on Takeovers and Mergers ("the Code"). Any
decision to proceed with an offer is subject to an internal strategic
review by Country Bird and appropriate discussions with the Board of
Directors of Sovereign Foods."
1.3 Position of the Board
The Board will consider the content of the CBH Announcement and the
statements made therein and, to the extent appropriate or required, publish
a further announcement in this regard.
2. Further cautionary announcement
Shareholders are referred to Sovereign`s further cautionary announcement
dated 21 April 2009 and are advised that Sovereign remains involved in
negotiations which, if successfully concluded, may have an effect on the
price of the Company`s securities.
Accordingly, shareholders are advised to continue to exercise caution when
dealing in the Company`s shares until a further announcement is made.
