Award Of Share Options
Notice is hereby given, in terms of paragraphs 3.63 to 3.65 of the Listings
Requirements of the JSE Limited, of the award on 3 June 2009 of options in
respect of the company`s ordinary shares to executive directors and the company
secretary of Truworths Limited (a subsidiary of the company), as set out below.
The options have been granted in terms of the company`s share incentive scheme
at the strike price of R37.18 cents each, and although the options are
exercisable immediately at the discretion of the holders, the resulting shares
will vest over the next five years at the rate of 0%, 10%, 30%, 30% and 30%
respectively per year on the respective anniversary dates of the award.
The directors have collectively been given the prescribed clearance to conduct
the transactions, and each has a 100% direct and beneficial interest in the
options.
