Results of Annual General Meeting
Shareholders are advised that at today`s annual general meeting all the
resolutions (except for ordinary resolutions numbers 2, 3 and 4) set out in the
notice and proposed at the meeting were passed by the requisite majority of
shareholders.
Membership of the board was restructured to reduce the number of executive
directors from the current five to two. Messrs. Ferreira, Stein and Schwartz
were due to retire at the annual general meeting and in terms of the new
structure did not offer themselves for re-election at the annual general
meeting. As such shareholders did not vote on ordinary resolutions numbers 2, 3
and 4 which dealt with the re-election of the above directors. Mr. Ferreira will
remain as an executive director of South Ocean Electric Wire Company (Pty)
Limited and Messrs. Schwartz and Stein will remain as executive directors of
Radiant Group (Pty) Limited.
The special resolutions will be submitted for registration at the Companies and
Intellectual Property Registration Office in due course.
