Reconstitution of Central Rand Gold South Africa`s Board of Directors
Central Rand Gold Limited ("CRG") announces the reconstitution of the Board of
Directors of its 74% owned operating subsidiary, Central Rand Gold South Africa
(Pty) Ltd ("CRGSA").
The reconstitution was effected in order to maintain operating efficiency,
continued good corporate governance and compliance with CRGSA`s Shareholder
Agreement between Central Rand Gold N.V. ("CRGNV"), CRG`s wholly owned
subsidiary holding 74% of CRGSA, and Puno Gold Investments (Pty) Ltd ("Puno"),
CRG`s current Black Economic Empowerment partner holding 26% of CRGSA. The
revised Board of Directors is comprised of CRGNV`s nominees John Michael
McMahon* (Chairman), Johan du Toit (Chief Executive Officer) and Wayne Epstein
and Puno`s nominees as Mandla Mtsweni* and Mahlomola Nazo*.
