Clearance to deal in these shares was obtained in accordance with Control
Instruments` policy with regard to directors` dealings as well as the Listings
Requirements of the JSE.
DIRECTOR SECURITIES UPDATE
Group Managing Director, Richard Friedman ("Friedman"), had a number of shares
that were caught up in the collapse of Dealstream Securities (Pty) Limited
("Dealstream"). Agreement has been reached with certain of the parties in
respect of some of these shares and it is now possible to ascertain exactly how
many of his Control Instruments shares were lost.
A `worst case scenario` in respect of Friedman`s shareholding was published in
the Group`s annual report for the year ended 31 December 2008 ("annual report"),
which was mailed to shareholders on 31 March 2009.
Following the purchases of shares disclosed in this announcement and the
completion of negotiations referred to above, Friedman`s shareholdings in CNL
shares can be confirmed as follows:
Direct beneficial shares - 8 354 434 (3 637 131 per the annual report).
Indirect beneficial shares - 1 028 100 (no change from annual report).
Indirect non-beneficial shares - 8 304 406 (7 399 406 per the annual report).
Friedman used Dealstream to purchase 1 512 500 CNL shares in 2007 and 3 165 400
CNL shares in 2008. The purchases of these shares were announced on SENS in
keeping with the JSE`s Listing Requirements for purchases of shares. It has now
been established that these shares were lost with the collapse of Dealstream.
The loss of these shares has been taken into account in calculating Friedman`s
shareholdings.
