IMPLEMENTATION OF AMBIT PROPERTIES LIMITED ("AMBIT") SCHEME OF ARRANGEMENT
Unitholders of ApexHi are referred to the announcement released on SENS on
Friday, 26 June 2009 which confirmed the fulfilment of all conditions precedent
for the implementation of the scheme of arrangement proposed by ApexHi between
Ambit and the Ambit linked unitholders (other than ApexHi) (the "scheme") and
which set out the salient dates for the implementation of the scheme.
On Monday, 13 July 2009:
- payment was posted to unitholders holding 139 013 linked units in Ambit who
elected to receive the cash consideration of R3.45 per Ambit linked unit;
and
- an additional 34 405 985 ApexHi "A" units, 34 405 985 ApexHi "B" units and
34 405 985 ApexHi "C" units (the "additional units") were issued to Ambit
unitholders holding 328 576 986 Ambit units who elected (or failed to make
an election by 12:00 on the scheme consideration record date) to receive
the unit consideration at the swap ratio of one ApexHi "A", one ApexHi"B"
and one ApexHi"C" unit for every 9.55 Ambit linked units held. Following
the issue of the additional units, there are 318 998 099 ApexHi "A" units,
318 998 099 ApexHi "B" units and 318 998 099 ApexHi "C" units in issue.
