FULFILMENT OF CONDITIONS PRECEDENT AND CONFIRMATION OF SALIENT DATES IN RESPECT
OF THE APEXHI A, APEXHI B, APEXHI C AND MADISON SCHEMES OF ARRANGEMENT
ApexHi "A" linked unitholders, ApexHi "B" linked unitholders, ApexHi "C" linked
unitholders and Madison linked unitholders (collectively the "scheme
participants") are referred to the previous announcements relating to the
proposed acquisition by Redefine of:
- all of the ApexHi "A", ApexHi "B" and ApexHi "C" linked units in issue
which are not already owned by Redefine pursuant to three separate schemes
of arrangement in terms of section 311 of the Companies Act (Act 61 of
1973), as amended, ("the Act") proposed by Redefine between ApexHi and its
"A" linked unitholders, "B" linked unitholders and "C" linked unitholders
respectively, other than Redefine (collectively, "the ApexHi schemes"); and
- all of the Madison linked units in issue pursuant to a scheme of
arrangement in terms of section 311 of the Act proposed by Redefine between
Madison and the Madison linked unitholders ("the Madison scheme"),
and are advised that:
- unconditional approval for the implementation of the ApexHi schemes and the
Madison scheme has been received from the Competition Authorities; and
- the orders sanctioning the ApexHi schemes and the Madison scheme have been
registered with the Companies and Intellectual Property Registration Office
in terms of the Companies Act (Act 61 of 1973).
Accordingly, all the conditions precedent to which the ApexHi schemes and the
Madison scheme are subject have been fulfilled.
The salient dates and times regarding the implementation of the ApexHi schemes
and the Madison scheme are as follows:
2009
Last day to trade in ApexHi "A", ApexHi "B" and Thursday, 6 August
ApexHi "C" linked units and Madison linked units
in order to participate in the scheme
consideration (see note 2 below) on
Suspension of listing of ApexHi "A", ApexHi "B" Friday, 7 August
and ApexHi "C" linked units and Madison linked
units at commencement of trading on
Scheme consideration record date, being the date Friday, 14 August
on which scheme participants must be recorded in
the register to receive the scheme consideration,
by close of trading on
Operative date of the ApexHi schemes and the Monday, 17 August
Madison scheme at the commencement of trading on
Scheme consideration posted to certificated scheme Monday, 17 August
participants (if documents of title are received
on or prior to 12:00 on the scheme consideration
record date) on or about
Dematerialised scheme participants` accounts (held Monday, 17 August
at their CSDP or broker) updated on
Termination of listing of ApexHi "A", ApexHi "B" Tuesday, 18 August
and ApexHi "C" linked units and Madison linked
units at the commencement of trading on

1. All times given are local times in South Africa.
2. ApexHi "A", ApexHi "B", ApexHi "C" and Madison linked unit certificates may
not be dematerialised or rematerialised after Thursday, 6 August 2009.
