DEALINGS IN SECURITIES BY EXECUTIVE DIRECTORS
In terms of paragraph 3.63 - 3.65 of the Listings Requirements of the JSE, the
following information is disclosed in respect of the grant of Restricted Shares
to the executive directors of Nedbank Group Limited and Nedbank Limited on 11
August 2009 in terms of The Nedbank Group (2005) Share Option, Matched Share and
Restricted Share Scheme:

These Restricted Shares are held on an indirect beneficial basis.
These Restricted Shares are Nedbank Group ordinary shares that are issued at the
volume weighted average price of R108,45 for the three trading days prior to
issue, namely 5 to 7 August 2009, at no cost to the executive directors. The
allocation of these shares has been based on retention and performance criteria
and the vesting of these shares on 12 August 2012 is subject to time-based
criteria. In addition, the shares issued to Mr Boardman are conditional on him
not engaging with competing financial institutions between the period of his
scheduled retirement as Chief Executive of Nedbank Group in February 2010 and
the vesting date of these shares.
The required prior written clearance for the grant and acceptance of these
Restricted Shares has been obtained.
