SECOND NOTICE REGARDING THE EXPECTED SUSPENSION/DELISTING OF SHARES BY THE JSE.
Reference is made to the SENS announcement made on 6 August 2009, wherein
shareholders were advised that, while waiting for further advices from the JSE
about the imminent suspension of the company`s listing, the company has taken
the initiative and arranged that a standby offer is in place for any shareholder
that wishes to sell its shares. This offer of R69.35 per share will remain as a
bid on the JSE until 31 August 2009, after which it will be permanently
withdrawn. The company does not anticipate that it will arrange any further
offer for shares after that date.
It was also indicated that if this methodology for the suspension/delisting of
the company`s shares succeeds without the imposition of any further costly
requirements by the JSE, an ex-gratia additional payment of R5.00 per share will
be paid to all shareholders that have sold their shares in terms of the standby
offer.
The company reminds shareholders that the date the offer will be withdrawn is 31
August 2009.
The response from shareholders has been remarkable in that almost every
shareholder that has responded to the process has taken the trouble to speak
to me personally and given me warm wishes for my retirement. Most of these
shareholders have been in place for decades and I sincerely appreciate the
messages I have received. This has led to a decision to implement the R5.00
per share ex-gratia payment irrespective of the attitude taken by the JSE.
The amount will be paid to all those shareholders that accepted the standby
offer in due course.
