Notification of acceptance of shares and share options by Executive Directors
and Executive Committee Members of Massmart
In compliance with rules 3.63 to 3.66 of the JSE Limited Listings Requirements,
we hereby advise that shares or share options in Massmart Holdings securities
have been offered to all eligible Group employees. These shares and share
options were offered on 27 May 2009 at a strike price of R77.5593 being the 5
day volume weighted average price on 26 May 2009, in terms of the rules of the
Massmart Holdings Limited Employee Share Trust. This offer was approved by the
Massmart Holdings Remuneration and Nominations Committee.
The total allocation of these shares or share options is 3,261,540 of which
20.27% was offered to the Executive Directors and Executive Committee members as
listed below. The acceptance date of the shares or share options by the
beneficiaries listed below is 27 August 2009. These shares and share options are
exercisable as to one quarter each in May 2011, May 2012, May 2013 and May 2014.
