DEALING IN SECURITIES BY DIRECTORS
Shareholders are referred to the Vox Telecom Limited 2009 Share Plan as detailed
in the Vox Telecom circular dated 29 July 2009 ("the Share Plan") and the
announcement released on SENS regarding the approval of, inter alia, the Share
Plan by the requisite majority shareholders present and voting, in person or by
proxy at a general meeting of shareholders of Vox Telecom held on 20 August
2009.
The Share Plan provided for the allocation of 38 797 559 share appreciation
rights ("SAR`s") to eligible employees on 31 August 2009. These SAR`s will be
available to be settled in equal thirds on the 3rd, 4th and 5th anniversaries
but need not be exercised until the 6th anniversary, at which time they must be
exercised or they will lapse. On settlement of those SAR`s that have vested and
are to be exercised, the value accruing to participants will be the full
appreciation of Vox Telecom`s share price(the difference between the allocation
price and the fair market value of a Vox Telecom share on the date of exercise
as defined in the Share Plan), which value will be settled in cash or Vox
Telecom shares of equivalent value as at exercise.
The executive directors formed part of the total number of eligible employees
participating under the Share Plan and accordingly, in compliance with sections
3.63 - 3.74 of the Listings Requirements of the JSE Limited, the following
