The LTIP Awards will normally vest on the third anniversary of the award date.
The LTIP Awards granted to the Executive Directors will be subject to
satisfaction of a performance condition comprised of two objective tests,
assessed independently of each other, absolute share price and relative total
shareholder return.
LTIP Awards granted to the PDMRs comprise a 50% retention component, the vesting
of which is not subject to any performance condition. The remaining 50% is
subject to the same performance conditions as for the Executive Directors.
