ASX/Media Release - 16 September 2009
1. Conversion of convertible loans
The Company has received a conversion notice with respect to the convertible
note deed entered into and announced to the market on 11 May 2009. The face
value plus accrued interest being converted is $545,000 and the conversion
price calculated in accordance with the terms of the deed is A$0.03592. The
number of ordinary shares to be issued in respect of this is 15,172,606.
In addition, following the granting of shareholder approval under Listing Rule
7.1 for the issue of the new shares at the general meeting held on 9 September
2009 at $A0.04, the $2.68 million convertible loans issued in August 2009 to a
range of sophisticated and professional investors within the meaning of
section 708 of the Corporations Act 2001, will be converted into 67 million
ordinary shares at the conversion price of $0.04.
A cleansing statement with respect to these issues will be lodged with ASX in
accordance with section 708A(5) of the Corporations Act 2001 (Cth).
2. Disclosure requirement in respect of JSE listing
The Securities Regulation Panel in South Africa has exercised its discretion
in terms of rule 34 of the Code and ruled that by shareholders voting "FOR"
resolution 9 at the general meeting held on 9 September 2009, this will be
deemed to constitute a waiver to their right to an offer to minorities as
contemplated in rule 8.7 of the SRP code.
