RIGHTS OFFER FINALISATION ANNOUNCEMENT
1. Introduction
Shareholders are referred to the declaration announcement released on SENS
on 7 October 2009 and published in the press on 8 October 2009 relating to
the rights offer in terms of which 2 727 580 820 shares in the authorised
but unissued share capital of Super Group will be offered for subscription
to shareholders ("Rights Offer Shares") in the ratio of 410 Rights Offer
Shares for every 100 Super Group shares held on the record date, being 30
October 2009, at an issue price of 45 cents per Rights Offer Share ("the
Rights Offer").
2. Conditions precedent
All conditions precedent to the Rights Offer have now been fulfilled and the
Rights Offer will be implemented in accordance with the timetable detailed
in the SENS announcement referred to above.
3. Circular to shareholders
The Rights Offer circular incorporating revised listing particulars and a
form of instruction in respect of a letter of allocation, where applicable,
will be posted to Super Group shareholders on Monday, 2 November 2009.
Shareholders are advised that an electronic version of the Rights Offer
circular will be available on the Company`s website (www.supergroup.co.za)
from Friday, 23 October 2009.
