RESULTS OF GENERAL MEETING - SPECIFIC REPURCHASE AND CHANGES TO THE BOARD
Shareholders are referred to the announcement released by the company over SENS
on 21 August 2009 and the circular issued to shareholders on 7 October 2009
("the circular") detailing, inter alia, -
- the terms and conditions of a specific repurchase of shares by the company
from Jacob Shapiro and Reuben Shapiro and their respective associates ("the
specific repurchase"); and
- the appointment to and resignations from the board of Myriad.
At the general meeting of Myriad shareholders held on Thursday, 29 October 2009
(convened pursuant to the notice of general meeting contained in the circular),
all of the resolutions proposed thereat were passed unanimously including the
special resolution relating to the specific repurchase of 34 000 000 Myriad
shares in aggregate from Jacob Shapiro and Reuben Shapiro and their respective
associates. The special resolution has been lodged for registration with the
Registrar of Companies.
Andrew Bonamour has been appointed to the board with immediate effect.
Each of the specific repurchase and the resignations of Philip Vallet, Mark
Nielsen, Jacob Shapiro and Reuben Shapiro remains subject to the special
resolution for the specific repurchase being registered by the Registrar of
Companies and the loan agreement referred to in the circular becoming
unconditional in accordance with its terms. A further announcement will be made
in due course.
