The Hospitality Property Fund Managers (Proprietary) Limited ("HPFM") Share
Incentive Scheme was set-up for the benefit of HPFM employees with shares
acquired by HPFM at the time of listing of Hospitality in February 2006 at the
issue price of R10,00 / HPA and R10,00 / HPB.
Shareholders and debenture holders approved the acquisition by Hospitality of
all the issued shares of and shareholders` claims against HPFM. Accordingly the
HPFM Share Incentive Scheme is being wound-up and the beneficiaries given the
alternative to either take up or dispose of their options. Approval to deal was
granted by the JSE Limited in this respect, prior to the transactions.
