DIRECTORS` DEALINGS
Subsequent to the fulfilment of the conditions precedent to the acquisition by
Remgro of the entire issued share capital of VenFin Limited (the "transaction")
as detailed in the circular dated 24 July 2009, shareholders are advised of the
following directors` dealings resulting from the transaction:
- In terms of the transaction, Remgro offered participants in the VenFin
Share Appreciation Right Scheme ("VenFin SARS") the opportunity to join the
Remgro Share Appreciation Right Scheme ("Remgro SARS") on the basis of
equivalent value, terms, conditions and vesting dates as those applied to
those members in terms of the VenFin SARS. Accordingly the following
participants have now received Remgro SARs on 23 November 2009:

The SARs may be exercised as follows:
- up to one third of the SARs granted may be exercised on or after the
third anniversary of the date of grant;
- up to two thirds of the SARs granted may be exercised on or after the
fourth anniversary of the date of grant, to the extent that they have
not been exercised previously;
- all of the SARs granted may be exercised on or after the fifth
anniversary of the date of grant, to the extent that they have not
been exercised previously;
- all SARs must be exercised by the sixth anniversary of the date of
grant.
- In addition, the following directors received the undermentioned Remgro
shares in lieu of their shareholding in VenFin Limited as a result of the
transaction:
