FURTHER CAUTIONARY ANNOUNCEMENT
Shareholders of UCS ("Shareholders") are referred to the cautionary
announcement published by UCS on 7 October 2009 and are advised that UCS
has submitted an expression of interest contained in a letter ("the
Expression of Interest") to the board of directors of Argility Limited
("Argility"), which company, including its assets, was unbundled from UCS
during 2007, regarding the possible acquisition by UCS of the entire issued
share capital of Argility, other than those shares already held by UCS
and/or its subsidiaries ("the Possible Transaction").
Shareholders should note that the Expression of Interest does not
constitute a notice of a firm intention to make an offer as contemplated in
terms of the Securities Regulation Code on Takeovers and Mergers and the
Rules of the Securities Regulation Panel. The expression of interest serves
to engage the board of directors of Argility in a process which could, if
successful, result in a firm offer being made by UCS in respect of the
Possible Transaction.
The implementation of the Possible Transaction remains at the sole
discretion of the UCS board of directors.
A further announcement regarding the Possible Transaction will be made in
due course.
Accordingly, Shareholders are advised to continue exercising caution when
dealing in their UCS shares until such further announcement is made.
