CHANGE IN FUNCTION OF DIRECTORS AND APPOINTMENT TO THE BOARD
In compliance with paragraph 3.59 of the Listings Requirements of JSE Limited,
the board of directors of TCS ("the Board") hereby notifies its shareholders
that:
- Mr Shaheed Mohamed has stepped down as Chief Executive Officer, and will
fulfil the role of Marketing and Business Development Director, effective 4
December 2009;
- Mr Lindikhaya Sipoyo, currently the Non-executive Chairman of TCS, has been
appointed as Executive Chairman and has resigned as a member of the Audit
Committee of TCS, effective 4 December 2009; and
- Mr Dumisani Mafu has been appointed as a non-executive director of TCS,
with effect from 4 December 2009. Dumisani has completed a Bachelor of Law
degree at the University of Fort Hare and is currently the Executive
Chairman of Mazolo Holdings (Proprietary) Limited and the Chairman of the
Eastern Cape Liquor Board. Dumisani will serve as a member of the Audit
Committee of TCS.
The Board welcomes Mr Craig Whittle CA(SA) as the interim Chief Financial
Officer of the company (but not as a director) with effect from 1 December 2009,
until the process of formally appointing a financial director is finalised.
The Board thanks Mr Mohamed for his leadership to the executive team and the
company, and wishes him well in his new role. The Board also wishes Mr Sipoyo,
Mr Mafu and Mr Whittle well in their new roles.
