SIMMERS CONFIRMS RECEIPT OF A NOTICE
Simmers confirms that it has today, Friday, 11 December 2009, received a notice
from Xelexwa Investment Holdings (Pty) Limited and a letter on a Vulisango
Holdings (Pty) Limited ("Vulisango") letterhead signed by the CEO of Vulisango,
Mr Valence Watson ("notice"). The notice calls on Simmers to convene an
extraordinary general meeting of Simmers shareholders for the purpose of:
- proposing the appointment of eight new directors to the Simmers board of
directors ("Simmers board") namely Messrs BZ Swanepoel, D Brown, SA Murray,
PM Surgey, DO Schutte, Ms BJ Njenje, Messrs KPE Wakeford and W Osae; and
- removing four of the current eleven Simmers board members, namely
Messrs NRG Brunette, J Berry, GT Miller and EA Meyer.
The company will issue a circular to shareholders if it is required to do so in
terms of the Companies Act, 1973. Shareholders are referred to the announcements
released on the Securities Exchange News Service earlier today, Friday, 11
December 2009, relating to the appointment of an interim board. Shareholders
were informed that the interim board will formally convene early in the new year
and that it will resolve to convene a general meeting of Simmers shareholders to
seek approval for the new board which with the mandate of the shareholders will
lead the company.
