RESULTS OF THE GENERAL MEETING
Further to the SENS announcement dated 27 November 2009 and the circular to
Vunani shareholders dated 27 November 2009, shareholders are advised that,
at the General Meeting of shareholders held on 14 December 2009, the resolution
to waive, as provided for in Rule 8.7 of the Securities Regulation Code on
Takeovers and Mergers ("the Code") and the Rules of the Securities Regulation
Panel ("SRP"), any obligation by the Offerors (as defined therein) to make
a mandatory offer in terms of Rule 8.1, 8.2 and 6.3 of the Code, was duly
approved by the requisite majority.
As no objections to the waiver were lodged with either the Company or the
SRP, the SRP has waived the requirement for a mandatory offer as provided
for in Rule 8.7 of the Code.
