Annual Report and Financial Statements
Dimension Data Holdings plc has today posted its 2009 Annual Report and
Financial Statements (including the Notice of Annual General Meeting) and Form
of Proxy to shareholders. The Annual Report and Financial Statements, the
Notice of Annual General Meeting and supporting documents are also available on
the Dimension Data Holdings plc website at www.dimensiondata.com. The documents
will be shortly available for inspection at the UK Listing Authority`s Document
Viewing Facility, which is situated at: The Financial Services Authority, 25 The
North Colonnade, Canary Wharf, London, E14 5HS.
As required by DTR 6.3.5 (1), we set out below the Statement of Directors`
responsibilities and the Principal risks and uncertainties contained within the
Annual Report as follows:
Responsibility statement
We confirm to the best of our knowledge:
- The financial statements prepared in accordance with International
Financial Reporting Standards as adopted by the
European Union, give a true and fair view of the assets, liabilities,
financial position and profit or loss of the Company and the undertakings
included in the consolidation taken as a whole; and
- The management report, which is incorporated into the Directors` report,
includes a fair review of the development and performance of the business
and the position of the Company and the undertakings included in the
consolidation taken as a whole, together with a description of the
principal risks and uncertainties they face.
Principal risks and uncertainties
The principal risks and uncertainties that affect the Group are described in
detail on pages 36 to 37 of the 2009 annual report. In summary, they include:
- Macroeconomic risk;
- Exposure to country risk;
- Vendor risk;
- Deal complexity risk;
- Regulatory risk;
- Employee retention risk;
- Business continuity risk; and
- Balance sheet risk
The other information required by DTR 6.3.5 (1) was contained within the
unaudited preliminary announcement of Dimension Data Holding plc`s results for
the year ended 30 September 2009, released to the market in unedited full text
on Wednesday 18 November 2009.
