POSTING OF CIRCULAR AND NOTICE OF GENERAL MEETING
INTRODUCTION
Shareholders are referred to the announcement released on the securities
exchange news service ("SENS") on Friday, 11 December 2009, informing
shareholders of the appointment of an interim board of directors ("interim
Simmers board") and the interim Simmers board`s decision to convene a general
meeting of Simmers shareholders to seek approval for the interim Simmers
board. Shareholders are further referred to the announcements released on SENS
on Friday, 12 December 2009, confirming that Simmers had received a notice
from Oryx Investment Management/ Hermes Asset Management ("Oryx/Hermes") and
from Xelexwa Investment Holdings (Pty) Limited ("Xelexwa"), respectively,
calling on Simmers to convene an extraordinary general meeting of Simmers
shareholders.
POSTING OF CIRCULAR
Shareholders are advised that a circular ("circular") has been posted today,
Thursday, 24 December 2009, to shareholders containing details of proposals in
respect of:
- The interim Simmers board`s decision to convene a general meeting of
Simmers shareholders to seek approval for the interim Simmers board and
specifically:
- the re-election of Messrs CB Brayshaw, R Havenstein, V Khanyile, DT
van der Mescht, Dr NS Segal and Ms SN Koyana; and
- the retention of Messrs J Berry, GJ Jacobs and EA Meyer as directors
on the Simmers board;
- a requisition by Oryx/Hermes to convene a general meeting of the company
for the purpose of:
- proposing the appointment of Messrs D Brown, SA Murray, PM Surgey
and BZ Swanepoel as directors to the Simmers board;
- proposing the removal of Messrs J Berry, NRG Brunette and GT Miller
as directors from the Simmers board; and
- subjecting to a shareholders` vote, resolutions concerning the re-
appointment of any directors that may have been appointed to the
Simmers board in the three months prior to the general meeting;
- a requisition by Xelexwa to convene a general meeting of the company for
the purpose of proposing:
- the appointment of Messrs D Brown, SA Murray, W Osae, DO Schutte, PM
Surgey, BZ Swanepoel, KPE Wakeford and Ms BJ Njenje as directors to
the Simmers board; and
- the removal of Messrs J Berry, NRG Brunette, EA Meyer and GT Miller
as directors from the Simmers board,
hereinafter collectively referred to as the "proposals".
NOTICE OF GENERAL MEETING
The circular contains a notice of general meeting of Simmers shareholders to
be held at 11:00 Central African Time on Monday, 1 February 2010, at the
offices of Macquarie First South Advisers (Pty) Limited, situated at The
Place, 1 Sandton Drive, South Wing, Sandown, Johannesburg for the purpose of
considering and, if deemed fit, passing, with or without modification, the
ordinary resolutions necessary to implement the proposals.
