RESULTS OF THE GENERAL MEETING
The directors advise that, at the general meeting of shareholders held today,
the requisite majority of shareholders approved the ordinary resolutions
relating to the:
* disposal by Skinwell of the entire issued share capital of its wholly-owned
subsidiary, CW Pharmaceuticals (Pty) Limited;
* waiver, in terms of Rule 8.7 of the Securities Regulation Code on Takeovers
and Mergers ("the Code"), of the requirement for Wessel van der Merwe
and/or Esna Colyn to make a mandatory offer in terms of Rule 8.1 and/or 8.2
of the Code; and
* authorisation of the directors to take the required actions to give effect
to the ordinary resolutions.
