RESULTS OF GENERAL MEETING, CHANGES TO THE BOARD OF DIRECTORS AND APPOINTMENT
OF NEW SPONSOR
Linked unitholders are referred to the SENS announcement dated 18 January
2010 and are hereby advised that, to the extent applicable, all ordinary
resolutions proposed at the general meeting of Fairvest linked unitholders,
held yesterday, Tuesday, 19 January 2010, were passed by the requisite
majority of linked unitholders.
Accordingly, in compliance with paragraph 3.59 of the Listings Requirements
of JSE Limited, linked unitholders of Fairvest are hereby advised of the
following changes to the board of directors of Fairvest.
Mr Jacques du Toit, previously a non-executive director, has been appointed
as chairman of the company.
Mr Martin Epstein has been appointed as a non-executive director of the
company. Martin has been in the property industry for over 15 years and has
gained significant experience in both the development and investment sectors,
with total projects exceeding R1 billion. Martin has grown a number of
property businesses organically, having the skills and expertise to manage
and maintain sizeable developments and significant property portfolios.
Martin is the CEO of Blend Property Group (Proprietary) Limited, an asset and
property management business.
Mr Pieter Johannes van der Merwe has been appointed as a non-executive
director of the company. Pieter obtained a B.Com, Honours B (B&A) and an MBA
from Stellenbosch University. Pieter is currently an executive director of
various companies in the retail, packaging manufacturing, property
development, chemicals and hospitality industries.
Mr Barry Jacques Kriel has been appointed as the chief executive officer of
the company. Jacques qualified as a Chartered Accountant in 2005, after which
he relocated to the United Kingdom where he joined Ernst & Young London`s
assurance division and was involved in various industries, including listed
retail and telecommunication companies. Jacques joined the Bank of England in
2008 and was until recently responsible for the financial reporting of the
United Kingdom`s Foreign Currency Reserves.
In terms of section 2.6 of the Listings Requirements of JSE Limited, linked
unitholders are hereby advised that PSG Capital (Proprietary) Limited has
been appointed as the new sponsor to the Company with effect from yesterday,
19 January 2010.
