proposed in the notice to shareholders incorporated in the Notice to
Shareholders, dated 11 December 2009 passed by the requisite majority at the
annual general meeting of the Company held at 10h00 on Thursday, 21 January
2010. The special resolution will be lodged with the Companies and Intellectual
Property Registration Office for registration.
