TRANSFER OF SHARES TO DIRECTOR
Shareholders are referred to the announcement released on SENS on 14 August
2008 wherein shareholders were advised of the sale agreement entered into by
Kelly Group with Mthunzi Mdwaba, Gerhard de Beer, Carl Raath and Tebogo
Makgatho ("the vendors") to purchase the entire issued share capital of
Torque Holdings (Proprietary) Limited.
The shares to be settled to the vendors were determined based on the
30 November 2008 financial statements and calculated at R8.20 per share as
detailed in the original agreement.
Subsequent to the acquisition, Mthunzi Mdwaba was appointed to the board of
Kelly Group as an executive director with effect from 2 October 2008. The first
tranche of shares required to be discharged to the vendors, as part of the
acquisition consideration, has now been delivered and accordingly the following
information is disclosed in compliance with the JSE Limited Listings
Requirements relating to share transactions with directors:
