ONE, POSTING OF CIRCULAR AND NOTICE OF GENERAL MEETING
Introduction and posting of circular
Gold One shareholders are advised that a circular relating to the amendment of
the listing status of Gold One on the Main Board List of JSE Limited ("JSE")
from a primary listing to a secondary listing and to certain proposed amendments
to the constitution of Gold One ("proposals"), is expected to be posted to Gold
One shareholders on Saturday, 6 February 2010 ("circular").
Rationale for the amendment to the JSE listing
The company currently holds a dual primary listing on the Australian Securities
Exchange ("ASX") under Industry classification: "Metals and Mining" and on the
JSE on the "Mining: Gold Mining" sector of the Main Board List.
The dual primary listing requires that Gold One comply fully with the provisions
of the JSE Listings Requirements and the ASX Listing Rules. The costs and
administrative requirements associated with Gold One having to fully comply with
the requirements and rules of two different exchanges are significant and Gold
One believes that its shareholders` best interests will not be prejudiced by
Gold One complying in full with the ASX Listing Rules and complying with the JSE
Listings Requirements only to the extent required for secondary dual listings on
the JSE.
Rationale for the amendment to the Gold One constitution
The proposed amendments to the Gold One constitution are designed to streamline
the administrative processes of the company. The proposed amendments are
summarised and set out in full in the circular.
Notice of general meeting
The circular contains a notice of general meeting of Gold One shareholders to be
convened for the purpose of considering and, if deemed fit, passing, with or
without modification, the ordinary and special resolutions necessary to
implement the proposals.
The general meeting will be held at 17:00 Australian Eastern Daylight Time
("AEDT") on Thursday, 11 March 2010, at the offices of Macquarie Bank, Level 3,
1 Martin Place, Sydney, Australia and will be telecast at the offices of
Macquarie First South Advisers (Pty) Limited, situated at The Place, 1 Sandton
Drive, South Wing, Sandown, Johannesburg commencing at 08:00 Central African
Time ("CAT") on Thursday, 11 March 2010 ("general meeting"). Shareholders
attending the telecast will be able to view the event and participate in the
general meeting.
