NOTIFICATION TO SHAREHOLDERS REGARDING THE TISO OTP
Shareholders of O-Line ("O-Line shareholders") are referred to the
announcement on SENS dated 15 December 2009 ("the December SENS") in which
the salient features of the Tiso Transaction (as defined therein) were duly
communicated to O-Line shareholders. As set out in the December SENS, the
Tiso SPV (as defined in the December SENS) held an election right, at its
sole and absolute discretion, to make the Tiso OTP (as defined in the
December SENS) to O-line shareholders.
Accordingly, due to the expenses that would have been incurred in making
the Tiso OTP to O-Line shareholders coupled with the limited prospects of
O-line shareholders accepting the TISO OTP, the Tiso SPV elected to acquire
additional O-Line shares as and when they become available ("the acquisitions").
Tiso will be making the acquisitions on an ad hoc basis and within the sole
discretion of TISO SPV. O-Line Shareholders are therefore informed that the
Tiso OTP will not be forthcoming.
