CHANGE IN DIRECTORATE
Shareholders are advised that Mr Phil Vallet has retired as a non-executive
director of Spescom with effect from 15 February 2010. The Board of Spescom
("the Board") wishes to extend its sincere appreciation to Mr Vallet who served
on the Board since 2003 for his valuable contribution to the affairs of Spescom
during his tenure.
The Board is also pleased to announce the appointment of Ms Nomfundo Qangule and
Ms Safeea Rahiman as independent non-executive directors of Spescom with effect
from 15 February 2010.
Ms Qangule is a qualified CA (SA) and has served on the boards and audit
committees of several JSE listed companies, including Harmony Gold Limited. She
has extensive experience in corporate finance and recently established Astute
Intellect, which offers advisory and financial training services. She will
provide valuable insight into risk management and compliance in her capacity as
an independent non executive director of Spescom. Ms Qangule will also succeed
Mr Vallet as chairman of Spescom`s audit and risk committee.
Ms Rahiman (CA (SA)) is a partner at RAiN (Chartered Accountant SA) and has led
the external audits for a number of national government departments and JSE
listed companies. She also serves as a member of various audit committees,
including that of the Transport, Education and Training SETA . Spescom will
benefit from her auditing, corporate governance and advisory experience. Ms
Rahiman will be appointed to Spescom`s audit and risk committee to ensure
compliance with the Companies Act of 1973, as well as the recommendations
contained in the King III Report.
