NOTIFICATION OF TRANSACTIONS BY DIRECTORS, PERSONS DISCHARGING MANAGERIAL
RESPONSIBILITY OR CONNECTED PERSONS
Notifications made in accordance with Disclosure Rule 3.1.4R(1)(a) of the
Disclosure and Transparency Rules.
1. The Company was notified on 15 March 2010 that on the same day Mrs G
Adams, a person connected with Mr Paul Adams, an executive director and a
person discharging managerial responsibilities, sold 162,067 British
American Tobacco p.l.c. 25p ordinary shares (the "Shares") at a price of
GBP22.0869 per Share.
2. The Company was notified on 15 March 2010 that on the same day Mr
John Daly, a person discharging managerial responsibilities, sold 6,000
British American Tobacco p.l.c. 25p ordinary shares (the "Shares") at a
price of GBP22.12122 per Share.
3. The independent Trustee of the British American Tobacco Group
Employee Trust (the "Trust") notified the Company on 16 March 2010 that
it had on 15 March 2010 transferred the beneficial interest in a total of
334,285 British American Tobacco p.l.c. 25p ordinary shares (the
"Shares") subject to awards granted under the British American Tobacco
2007 Long Term Incentive Plan (the "2007 LTIP") to the following persons
discharging managerial responsibility ("PDMRs") as follows:

*The Shares will be held on behalf of the PDMRs by the trustee of the
Trust until the third anniversary of the award date. Under clawback
arrangements entered into by each PDMR, the entire number Shares
transferred to each PDMR remain subject to a risk of forfeiture until
such time as it is determined that the associated forfeiture
provisions imposed at the date of grant, in particular in leaver
circumstances, no longer apply.
**No Shares will be sold to cover the taxation and other statutory
withholding obligations arising on the transfer of the beneficial
interest in the Shares to the PDMRs. Each of the PDMRs is to pay such
amounts to the Company out of their own funds.
4. The independent Trustee of the British American Tobacco Group
Employee Trust notified the Company on 16 March 2010 that it had on 15
March 2010 released the following number of British American Tobacco
p.l.c. 25p ordinary shares (the "Shares") to the following persons
discharging managerial responsibility:
