CHANGES TO THE BOARD OF DIRECTORS
The board of Medi-Clinic is pleased to announce the following changes to its
board of directors:
1. Change of Chief Executive Officer ("CEO")
Further to the announcement on 25 August 2009 relating to the appointment of Mr
Danie Meintjes as the Chief Executive Officer of Medi-Clinic upon the retirement
of Mr Louis Alberts, it is hereby announced that Mr Louis Alberts has today, 31
March 2010, retired as the CEO of Medi-Clinic. Mr Danie Meintjes is appointed
as the CEO of Medi-Clinic with effect from 1 April 2010.
Mr Louis Alberts, who was appointed as a director of the company in 1988 and as
the CEO in 1990, has made an immense impact on the success of the Medi-Clinic
group throughout his more than 22 years of service to the company. He is an
exceptional leader and has set a significant benchmark with his deep
understanding of the business and industry. His experience and business acumen
was an invaluable asset to Medi-Clinic, for which we thank him.
Mr Danie Meintjes joined Medi-Clinic from the Human Resources Department of the
then Rembrandt Group (now Remgro) in 1985. He was the manager of Sandton Medi-
Clinic for some years, before he was appointed as the head of the Medi-Clinic
Human Resources Department, and has been a member of the Medi-Clinic Executive
Committee since 1996. In January 2006 he moved to Dubai where he acted as the
CEO of Emirates Healthcare, the company housing Medi-Clinic`s activities in the
Middle East. We welcome him in his new role and look forward to his further
contribution to the Medi-Clinic group.
2. Appointment of Lead Independent Director ("LID")
Mr Desmond Smith, an independent non-executive director of Medi-Clinic since
March 2008 and chairman of Medi-Clinic`s Audit & Risk Committee since May 2008,
was appointed as the LID in compliance with section 3.84(c) of the JSE Listings
Requirements and the recommendations of the King Report on Governance for South
Africa 2009 ("King III").
Mr Smith is the chairman of the RGA Reinsurance Company of South Africa Limited
and Santam Limited and the chairman-elect of Sanlam Limited. He also holds
various other directorships.
