NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL
RESPONSIBILITY OR CONNECTED PERSONS
Notification made in accordance with Disclosure Rule 3.1.4R(1)(a) of the
Disclosure and Transparency Rules.
1 The Company was notified on 6 April 2010 by the trustees of the British
American Tobacco Employee Share Ownership Plan and the British American
Tobacco International Employee Share Ownership Plan (together the "Plans")
that on 1 April 2010 ordinary shares of 25p each in British American
Tobacco p.l.c. (the "Shares") were awarded to the Executive Directors and
other persons discharging managerial responsibility (together the
"Participants") listed below by way of the Share Reward Scheme and the
International Share Reward Scheme respectively (the Free Shares element of
the Plans) at a price of 2278.5 pence per Share.
The number of Shares awarded to each Participant, together with their
interests following the transaction, are as follows:

2 The Company was notified on 6 April 2010 by the trustee of the British
American Tobacco International Employee Share Ownership Plan (the "Plan")
(the "Trustee") that on 6 April 2010 (the vesting date of 2 April 2010 not
being a business day) ordinary shares of 25p each in British American
Tobacco p.l.c. (the "Shares") were awarded as dividend shares to the
persons discharging managerial responsibility (the "Participants") listed
below and, further, awards of Shares made in 2007 had vested in accordance
with the rules of the Plan (the "Vesting Awards"):-

Note: the Vesting Awards, being 171 Shares for each of Messrs Cobben, Daly and
Fell have been reported as a beneficial interest since they were granted (or
date of appointment as a PDMR, whichever is appropriate) and these, together
with the dividend shares awarded on 6 April 2010, are being held under the
Participants` names in the corporate nominee account administered by the
Company`s Registrar, Computershare Investor Services PLC.
Therefore, the increase in each Participant`s beneficial and family interests
is the award of the dividend shares, with the exception of Mr M M Cobben who,
at the time of the Vesting Awards, sold 93 Shares to cover tax liability.
His total beneficial and family interest after both the above transactions
is 141,474 (including 26,116 Deferred Shares).
