GENERAL MEETING OF ADCOCK SHAREHOLDERS
At the general meeting of Adcock ordinary shareholders held on 9 April 2010 in
relation to the black economic empowerment transaction ("the Transaction") to be
undertaken by Adcock, all of the ordinary and special resolutions required to
authorise the implementation of the Transaction as set out in the notice of the
general meeting were duly passed by the requisite majority of votes. The special
resolutions will be lodged for registration with CIPRO as soon as possible. Once
the special resolutions have been lodged with CIPRO, all conditions precedent to
the implementation of the Transaction would be fulfilled.
