A) PARTNERSHIP & MATCHING SHARE ALLOCATION
Under Liberty International PLC`s Share Incentive Plan ("SIP") all eligible
employees, including Executive Directors and PDMRs may save up to GBP125 per
month which is used to purchase ordinary shares (Partnership Shares) in Liberty
International PLC at the end of a twelve month accumulation period. The
Partnership shares are purchased at the lower of the market price of the shares
at the start or at the end of the accumulation period. For every two
Partnership Shares purchased, Liberty International purchases one additional
ordinary share (Matching Share).
In accordance with DTR 3.1.4R, details of the Partnership Shares and Matching
Shares acquired on 23 April 2010 at a price of GBP4.082 per share, and held in
trust on behalf of Executive Directors and PDMRs in respect of the accumulation
period ended 31 March 2010, are shown below.

B) TRANSFER OF SHARES TO SPOUSE
In accordance with DTR 3.1.2R, on 29 April 2010 Mr Black (a PDMR of Liberty
International PLC) notified the Company that on 27 April 2010 he transferred
10,269 ordinary shares of GBP0.50 each in Liberty International PLC (0.0017% of
the shares in issue) into the name of his wife, Mrs Letitia Mary Anne Black, for
nil consideration. Following the transfer, Mr Black`s total holding of shares
in Liberty International (including shares held in his wife`s name) is 107,240
shares (0.0172%).
