NOTICE OF RESULTS OF MEETING
with respect to
Old Mutual plc (the "Issuer")
(incorporated with limited liability in England and Wales, under the Companies
Act 1985, with registered number 3591559)
EUR 10,000,000 Fixed Rate Notes due 23 December 2010 (ISIN: XS0179675508) (the
"Notes")
At a meeting of the holders of the Notes (the "Holders") convened by the notice
dated 13 April 2010 (the "Notice of Meeting") and held on 4 May 2010 at 10.00
a.m. (London time) the Extraordinary Resolution detailed in the Notice of
Meeting was duly passed.
Accordingly, the amendments referred to in the Extraordinary Resolution and set
out in the supplemental trust deed referred to in the Extraordinary Resolution
will be implemented with effect from on or about 6 May 2010.
Capitalised terms used but not defined in this Notice of Results of Meeting
shall have the meanings given in the Notice of Meeting.
