CHANGE TO BOARD - RETIREMENT OF FOUNDER CHAIRMAN AND APPOINTMENT OF CHARIMAN
OF THE BOARD AND LEAD INDEPENDENT DIRECTOR
Pursuant to the announcement released on 5 November 2009, wherein it was
announced that Hans Enderle will stand down as non-executive chairman with
effect from 1 August 2010, and in compliance with Sections 3.59 - 3.62 of the
JSE Listings Requirements, the City Lodge Hotels board of directors is
pleased to announce that Mr Bulelani Ngcuka has been appointed as chairman of
the board of City Lodge Hotels Limited, with effect from 1 August 2010.
Mr Ngcuka, by virtue of his shareholding in Vuwa Investments (Proprietary)
Limited, the company`s 6% BEE strategic business partner, is not regarded as
independent. The board has therefore, in compliance with Rule 3.84(c)of the
JSE Listings Requirements and the principles of the third "King Report on
Governance for South Africa 2009", appointed Mr Nigel Matthews as the lead
independent director, with effect from 1 August 2010.
