CHANGES TO BOARD OF DIRECTORS
Pursuant to paragraph 3.59(c) of the JSE Limited`s Listings Requirements, the
Company hereby informs shareholders that changes have been made to the Board of
Directors. Following the completion of the recent rights issue undertaken by
the Company, Castellas Investment Holdings Limited holds 56.1% of the ordinary
share capital of the company.
The Board of Directors has accepted the resignation of Mr A. A. Barrell and the
retirement Mr B. E. Danoher from the Board with effect from 19 May 2010.
In terms of Article 34 of the Company`s Articles of Association, the Board of
Directors has appointed Mr J. Fragis and Mr S. R. Favish onto the Board as non-
executive directors with effect from 19 May 2010.
Mr Fragis has extensive experience as the Chief Financial Officer of various
international companies, including Del Monte Foods Group and Whyte and Mackay.
Mr Favish is a Chartered Accountant and is the former Financial Director of
Nandos and Netcare. He also has many years of corporate finance experience in an
investment banking environment.
