CAUTIONARY ANNOUNCEMENT
Shareholders are advised that Mercantile and Sasfin have signed a non-binding
Memorandum of Understanding to enable them to explore the possibility of
concluding a proposed merger ("the Proposed Transaction"). If successfully
concluded, the Proposed Transaction would result in Caixa Geral de Depositos
S.A., the state owned Portuguese company which is the controlling shareholder of
Mercantile, becoming the controlling shareholder in the merged entity. The
Proposed Transaction may have a material effect on the price at which the shares
of both Mercantile and Sasfin trade. Accordingly, shareholders are advised to
exercise caution when dealing in their Mercantile and Sasfin shares until a
detailed announcement is made.
