RESIGNATION OF INDEPENDENT NON-EXECUTIVE DIRECTOR
In compliance with paragraph 3.59(b) of the Listings Requirements of the JSE
Limited, the board of directors of JD Group ("the board") hereby notifies
its shareholders with regret of the resignation by Professor Mervyn King
from the board with effect from 1 July 2010.
Prof King has been associated with companies within the JD Group for 28
years and has served on the Group board as an independent non-executive
director for the past 15 years. During his tenure he has played a leading
role in overseeing the implementation of sound corporate governance
structures in the Group. Management and the board take this opportunity to
thank Mervyn for his loyal and dedicated contribution to the Group and wish
him well in his future endeavours.
Prof King has decided to focus on governance and regulatory issues. He has
recently been appointed Chairman of the new Integrated Reporting Committee
(IRC) of South Africa, a member of the new International Integrated
Reporting Committee (IIRC) in London, which starts its work on 16 July 2010,
and as the Expert Adviser to the Office of the Inspector General of the
Global Fund in Geneva. He will continue as Chairman of the Global Reporting
Initiative in Amsterdam, as Chairman of Strate (the regulator of custodians
of financial instruments in South Africa), and as Chairman of the King
Committee on Corporate Governance.
Mervyn will also continue to advise and lecture on corporate governance and
sustainability matters and to act as an arbitrator and mediator.
