Clearance has been received in terms of rule 3.66 of the JSE`s
Listings Requirements in respect of the above transaction.
Dark Capital (Proprietary) Limited ("Dark Capital") is Petmin`s
preferred Black Economic Empowerment ("BEE") shareholder and the
key member of the Petmin Anchor BEE Consortium.
Alwyn Martin (a Petmin non-executive director), and Heloie Mgcina
(nee Martin) are directors of Dark Capital and have an indirect
interest in Dark Capital. Raphael Martin is a co controlling
shareholder of Dark Capital. Heloise Mgcina,
Alwyn Martin and Raphael Martin are collectively referred to
herein as "the Martin Family".
The purpose of this announcement is to clarify to the market
the state of the reorganisation of the Martin Family`s interest
in Petmin, and the impact of the foregoing on Petmin`s BEE status.
Alwyn Martin today announced on SENS the following restructuring
of the Martin Family`s interest in Petmin:
Off-market transactions executed at 275 cents:
64 583 030 shares transferred by Dark Capital to a vehicle of
which Raphael Martin is the sole beneficiary;
17 640 000 shares acquired by a vehicle owned by Raphael Martin
and Heloise Mgcina unconnected to Alwyn Martin;
Dark Capital has reduced its Single Stock Futures exposure by
97 700 contracts, representing 9 770,000 Petmin shares;
An interest in 875 375 indirectly held shares sold by Dark
Capital, and
875 375 shares acquired indirectly by Alwyn Martin.
Other Director`s dealings which occurred today are:
311 000 shares sold by Bradley Doig to Dark Capital
At the 27 January 2010 Annual General Meeting ("the AGM"),
Petmin`s shareholders approved the granting of financial
assistance to Dark Capital by Petmin ("Petmin Support") and this
Facility currently being finalised with the relevant financial
institutions. The net result of the above, and the accompanying
transactions, is an increase of 11 870 000 in the number of shares
standing to the benefit of The Martin family to 132 104 278) of
which 120 000 000 shares are "locked up "for 3 years and or until
the Facility is repaid.
As at 30 June 2010, at least 28% percent of Petmin`s equity is
controlled by the Petmin Anchor BEE Consortium.
The Petmin management looks forward to developing Petmin as
a multi-commodity business with the continued support of the
Petmin Anchor BEE Consortium.
