Unitholders are referred to the SENS announcement dated 19 August 2009 and the
circular to unitholders dated 1 October 2009 and are reminded of the recent
acquisition by Hospitality of Hospitality Property Fund Managers (Pty) Ltd ("HPF
Manco"), the external asset manager of Hospitality. The sellers of Hospitality
Manco were GPAM and Hotel Tourism and Leisure Asset Management (Pty) Ltd.
The sellers were obliged to utilise a portion of the proceeds from the sale to
subscribe for A and B linked units in Hospitality.
The above transaction is in respect of Hospitality linked units purchased by
GPAM as set out above.
The proceeds of the sale will be utilised mainly to settle certain tax
obligations of GPAM.
Gerald Nelson in his capacity as CEO of Hospitality could be perceived to have
access to confidential and/or price sensitive information at any given point in
time and has as such refrained from participating in shareholders and directors`
discussions around and voting on the sale of Hospitality linked units by GPAM.
