ODD-LOT AND SPECIFIC OFFERS: SPECIAL RESOLUTION, FINALISATION ANNOUNCEMENT AND
REMINDER TO SHAREHOLDERS
1. SPECIAL RESOLUTION
Illovo shareholders are hereby advised that the special resolution giving the
Company the specific authority to repurchase shares in respect of the odd-lot
and specific offers, collectively "the offers", has been registered by the
Registrar of Companies. The offers are now unconditional.
A further announcement regarding the results of the offers will be made
following the closing of the offers on Friday, 13 August 2010.
2. REMINDER TO SHAREHOLDERS
Illovo shareholders are hereby reminded, as per paragraph 1 of the circular
dated 22 June, that it is a term of the offers that Illovo shall be entitled to
refuse to implement the purchase of Illovo ordinary shares, pursuant to the
offers, in respect of any odd-lot holder or specific holder whom the Company
reasonably believes has become an odd-lot holder or specific holder in order to
take advantage of the offers. Such odd-lot holder or specific holder will have
no claim against Illovo arising out of or in connection with such refusal.
