On 15 July 2010, NTT and Dimension Data announced that they had reached
agreement on the terms of a recommended Offer to be made by NTT for the entire
issued and to be issued share capital of Dimension Data.
NTT and Dimension Data announce that the Offer Document, which contains the
terms and conditions of the Offer and the procedures for acceptance, is being
published today with the Forms of Acceptance. The first closing date of the
Offer is 12.00 noon (London time) (which corresponds to 1.00 p.m. Johannesburg
time) on 10 September 2010.
If you hold Dimension Data Shares which are registered on Dimension Data`s UK
Share Register and they, or any of them are in certificated form (that is, not
in CREST), to accept the Offer in respect of those Dimension Data Shares, you
should complete, sign and return the UK Form of Acceptance (together with your
share certificate(s) and any other document(s) of title) to Computershare as
soon as possible and, in any event, so as to be received by Computershare not
later than 12.00 noon (London time) on 10 September 2010.
If you hold Dimension Data Shares which are registered on Dimension Data`s UK
Share Register and they, or any of them are in uncertificated form (that is, in
CREST), to accept the Offer in respect of those Dimension Data Shares, you
should follow the procedure for Electronic Acceptance through CREST so that the
TTE instruction settles as soon as possible and, in any event, not later than
12.00 noon (London time) on 10 September 2010. If you hold your Dimension Data
Shares as a CREST-sponsored member, you should refer to your CREST sponsor as
only your CREST sponsor will be able to send the necessary TTE instruction(s) to
Euroclear.
If you hold Dimension Data Shares which are registered on Dimension Data`s South
African Branch Share Register and they, or any of them, are in certificated form
(that is, not in Strate), to accept the Offer in respect of those Dimension Data
Shares, you should complete, sign and return the SA Form of Acceptance (together
with your share certificate(s) or other document(s) of title) to Computershare
as soon as possible and, in any event, so as to be received by Computershare not
later than 1.00 p.m. (Johannesburg time) on 10 September 2010.
If you hold Dimension Data Shares which are registered on Dimension Data`s South
African Branch Share Register and they, or any of them, are in uncertificated
form (that is, in Strate), your CSDP or stockbroker should contact you in terms
of the custody or mandate agreement concluded between you and the CSDP or
stockbroker, as the case may be, to ascertain whether or not you wish to accept
the Offer. If you wish to accept the Offer but have not been contacted by your
CSDP or stockbroker, it would be advisable to contact and furnish your CSDP or
stockbroker with instructions in regard to the acceptance of the Offer. These
instructions must be provided in the manner and by the cut-off date and time
advised by your CSDP or stockbroker in terms of the custody or mandate agreement
and must be communicated to Computershare, by not later than 1.00 p.m.
(Johannesburg time) on 10 September 2010.
The Offer Document is displayed on NTT`s website
(http://www.ntt.co.jp/ir/index_e.html) and a copy is also available for
inspection during normal business hours at the offices of Linklaters LLP, One
Silk Street, London EC2Y 8HQ and of Dimension Data, The Campus, 57 Sloane
Street, Bryanston, Johannesburg 2021, South Africa, until the end of the Offer.
NTT and Dimension Data also announce that the applicable waiting period under
the United States Hart-Scott-Rodino Antitrust Improvements Act of 1976 (as
amended) has now expired. Accordingly, the US competition condition to the Offer
is now satisfied.
