SANCTIONING OF THE SCHEME OF ARRANGEMENT
Shareholders are referred to the announcements released on SENS on 4, 5 and 13
August 2010 regarding the postponement of the court hearing to sanction the
scheme of arrangement ("the scheme") in terms of section 311 of the Companies
Act no. 61 of 1973 ("the Companies Act"). Shareholders are further referred to
the announcement released on SENS on 23 July 2010 regarding the results of the
scheme meeting and general meeting of the ordinary shareholders of DTH held on
Friday, 23 July 2010 at the registered offices of DTH and to the other prior
announcements released on SENS on 1 June, 1 July and 20 July detailing the
scheme.
Shareholders are hereby advised that the South Gauteng High Court ("the Court")
has granted an order ("Order of Court") sanctioning the scheme on Monday, 16
August 2010.
A certified copy of the Order of Court will be lodged with the Companies and
Intellectual Property Registration Office ("CIPRO") for registration. The
registration by CIPRO of the Order of Court is the only remaining outstanding
suspensive condition to the scheme.
The special resolution pertaining to the provision of financial assistance in
terms of section 38 (2A) and approval in terms of section 226(2)(a) of the
Companies Act ("the financial assistance") was registered by CIPRO on 4 August
2010.
A further announcement ("the Finalisation Announcement") regarding the outcome
of the registration by CIPRO of the Order of Court and revised salient dates and
times of the scheme will be released on SENS in due course.
