RESULTS OF GENERAL MEETING
Shareholders are advised that a general meeting of the
Company was held on Friday, 27 August 2010 to consider:
a revised broad based black economic empowerment structure
in AFGRI Limited pursuant to the acquisition by Izitsalo
Employee Investments (Proprietary) Limited of all of the
undivided interests of all of the beneficiaries in relation
to capital and interest of the Agri Sizwe Empowerment Trust
which it does not already own ("the Izitsalo Acquisition");
amendments to the Deed of Trust constituting the Agri Sizwe
Empowerment Trust and the Partnership Agreement in order to
give effect to the Izitsalo Acquisition,
as detailed in the circular posted to shareholders on
Friday, 6 August 2010.
Shareholders are further advised that all of the resolutions
tabled at the general meeting were passed by the requisite
majority and the Izitsalo Acquisition will be implemented in
accordance with its terms.
