CAUTIONARY ANNOUNCEMENT
Shareholders are advised that it is NEPI`s intention to undertake a rights offer
("the rights offer") to raise approximately EUR40 million. The proceeds from the
rights offer are expected to be used to fund potential acquisitions which NEPI
is in the process of negotiating ("the potential acquisitions"). If successfully
concluded, the negotiations may have a material effect on the price of NEPI`s
securities. Accordingly, shareholders of the Company are advised to exercise
caution when dealing in NEPI`s securities until a further announcement is made
in respect of the rights offer and the potential acquisitions.
