Circular and notice of general meeting relating to the proposed acquisition by
Avusa of the entire issued share capitals of Universal Print Group (Proprietary)
Limited ("UPG") and Hirt & Carter (Proprietary) Limited ("H&C") from UHC
Communications (Proprietary) Limited ("UHC" or "the Seller"), as well as any
claims that the Seller may have against UPG and H&C ("the Transaction")
1. Circular and notice of general meeting
Shareholders are referred to the announcements dated 14 June, 26 July, 6
September and 9 September 2010 relating to the Transaction. A circular,
dated 29 September 2010, containing details of the Transaction and
incorporating a notice of general meeting has been posted to Avusa
shareholders today.
A general meeting to consider and, if deemed fit, approve the resolutions
necessary to give effect to the Transaction, will be held in the
Auditorium, Ground Floor, 4 Biermann Avenue, Rosebank, Johannesburg at
10h00 on Thursday, 14 October 2010.
2. Questions pertaining to the Transaction
Shareholders are advised that the Company has established an Investor
Relations call facility, allowing all shareholders the opportunity to
direct any questions they may have, specifically relating to the
Transaction, to avusa@collegehill.co.za. This facility is available from
29 September 2010 to 12 October 2010, both days inclusive.
